The
ByLaws are being revisited to take into consideration suggestions from Marjorie and to ensure the
ByLaws do not conflict with the Articles of Incorporation. Here is the latest iteration for review on Google Docs:
bylaws. --
JasperFields - 18 Aug 2009 The
ByLaws subcommittee worked on the
ByLaws using Google Docs. Here is a link to view the public version of the doc:
http://docs.google.com/View?id=dhmk8whj_0dmdw5cdb We started with the sample
ByLaws.rtf that Mike Heckman got on the CD that came with the book he got about starting a non-profit. Then, we looked at these three
ByLaws from other hacker space groups while working on the above document:
Please leave comments about the
ByLaws here (refer to article and section number):
- As sent out on the mailing list: I've made some change on the bylaws and I'd like your feedback/approval on them. I've tried to detail them below.
0. Every instance of the word "vote" mysteriously disappeared from the document, I think I've fixed them all but please be on the lookout for weirdness.
1. moved the member section to be the third article rather than the last. Reworked the document to change all references to articles and sections modified by the move.
2. Detailed the voting process for new regular members (Article 3, Section 2)
3. Added the charter members section (Article 3, Sections 3 & 4) and added a method for inducting charter members after the fact
4. Added the "good standing" wording (Article 3, Section 7) - I still think there should be a clause indicating that they're active (i.e. having attended an open house in the last six months, etc.)
5. Modified the Termination of Membership (Article 3, Section 13). A couple big changes here. First made I made it really difficult to get rid of a charter member. Second, instead of a grace period before termination, you have a grace period after termination. The reason I did this is to keep a disgruntled member from coming into the space and cleaning us out when they've been told they're being terminated.
6. In Article 4, Section 10, I changed the minimum notice of meetings to 14 days. Thought two weeks was more appropriate.
7. In Article 5, Section 10, I fleshed out the duties of the public relations officer. "The PRO"?
8. Big change! Article 11, Section 1. Alteration of they bylaws requires a four-fifths approval of the *members*.
9.
MichaelDeese pointed out an editing error in Article 3, Section 12 which has been fixed.
